ЕСЛИ ВЫ НЕ СОГЛАСНЫ С КАКИМИ-ЛИБО УСЛОВИЯМИ НАСТОЯЩЕГО СОГЛАШЕНИЯ, НАЖМИТЕ НА КНОПКУ «НЕТ» И/ИЛИ НЕ УСТАНАВЛИВАЙТЕ, НЕ КОПИРУЙТЕ И НЕ ИСПОЛЬЗУЙТЕ ПРОГРАММНОЕ ОБЕСПЕЧЕНИЕ ИНЫМ ОБРАЗОМ. ЭТО СОГЛАШЕНИЕ МЕЖДУ ВАМИ И AGNITUM LIMITED («AGNITUM»). Настоящее Соглашение прилагается к Программному Обеспечению Agnitum и соответствующим пояснительным материалам и распространяется на любые улучшения, модифицированные версии, обновления, дополнения и копии Программного Обеспечения, предоставленного Вам Agnitum. Эта копия Программного Обеспечения предоставлена Вам как конечному пользователю или Вашему работодателю и/или доверителю или иной третьей стороне, уполномоченной разрешать Вам использовать Программное Обеспечение. Программное Обеспечение охраняется применимым национальным законодательством и международными договорами об авторском праве, а также иным законодательством и международными договорами об интеллектуальной собственности. Программное Обеспечение предоставляется на основе лицензии, но не продается. Agnitum сохраняет за собой все права, прямо не предоставленные Вам по настоящему Соглашению. 1. ОПРЕДЕЛЕНИЯ «Программное Обеспечение» означает Outpost Firewall Pro, включая, но не ограничиваясь: объектный код, исходный код, документацию и связанные с ними информационные материалы в электронном и печатном виде. «Вы» означает физическое лицо и/или организация, осуществляющие права и соблюдающие все условия настоящей Лицензии. «Agnitum» означает Agnitum Limited, компания, обладающая исключительными правами на Программное Обеспечение. «Шпионское программное обеспечение» означает любое приложение или программу, которые производят какие-либо изменения в Компьютере пользователя («Компьютер»), собирают информацию об операциях в Компьютере и/или передают собранную информацию третьему лицу, или нарушают функционирование Компьютера иным способом в интересах третьего лица без информированного согласия пользователя (то есть согласия, основанного на оценке и понимании любых фактических действий и условий их совершения). Шпионское программное обеспечение включает в себя, в том числе, но не ограничиваясь этим: приложение или программу, которые выполняют без ведома и согласия пользователя такие действия, как размещение рекламы, сбор персональной информации, изменение конфигураций Компьютера, домашней страницы Веб-браузера или настроек страницы поиска, добавление дополнительных компонентов в Веб-браузер пользователя или передача информации о трафике между Веб-сервером и пользователем третьим лицам. «Рекламное программное обеспечение» означает любое приложение или программу, содержащие рекламные объявления или иные маркетинговые материалы или автоматические загружающие такие материалы, которые демонстрируются или воспроизводятся после установки, или такие приложение или программа, в которых автоматически загружается информация о Компьютере или операциях пользователя, тогда как пользователь не запрашивал этого. «Домовладение» означает лицо или лица, проживающие в одной и той же единице жилищного строительства, например, доме, квартире, передвижном доме-фургоне или кооперативном совладении. 2. ЛИЦЕНЗИЯ. С учетом ограничений, изложенных в настоящем Соглашении, Agnitum предоставляет Вам неисключительную бесплатную лицензию на Использование Программного Обеспечения в течение ознакомительного периода, составляющего тридцать (30) дней. Срок действия этой лицензии может быть продлен на неограниченное время посредством внесения платежей. По истечении срока действия лицензии программа должна быть удалена Вами с Вашего компьютера. 3. ПРАВА, ПРЕДОСТАВЛЯЕМЫЕ НАСТОЯЩЕЙ ЛИЦЕНЗИЕЙ. В соответствии с настоящим Соглашением Вы имеете право: а. Использовать Программное Обеспечение в соответствии с типом его лицензии: БЕСПЛАТНАЯ - Устанавливать, использовать и запускать Программное Обеспечение на любом количестве Компьютеров только для личных целей и не для продажи или оказывания услуг третьей стороне или для других коммерческих целей; ПЕРСОНАЛЬНАЯ - Устанавливать, использовать и запускать одну (1) копию Программного Обеспечение на (1) одном компьютере одновременно; ДОМАШНЯЯ - Устанавливать, использовать и запускать не более трех (3) копий Программного Обеспечение на максимум трех (3) компьютерах одновременно при условии, что данные компьютеры находятся в одном Домовладении большую часть времени и используются лицами, проживающими в данном Домовладении. Домашняя Лицензия не распространяется на корпоративных и коммерческих пользователей; СЕМЕЙНАЯ - Устанавливать, использовать и запускать не более пяти (5) копий Программного Обеспечение на максимум пяти (5) компьютерах одновременно при условии, что данные компьютеры находятся в одном Домовладении большую часть времени и используются лицами, проживающими в данном Домовладении. Семейная Лицензия не распространяется на корпоративных и коммерческих пользователей.; БИЗНЕС/ОБРАЗОВАТЕЛЬНАЯ - Устанавливать, использовать и запускать Программное Обеспечение только на количестве компьютеров указанном в оплаченной Вами многопользовательской лицензии; б. Сделать копию Программного Обеспечения исключительно в запасных или архивных целях. 4. ОГРАНИЧЕНИЯ ИСПОЛЬЗОВАНИЯ Вы не имеете права: а. Устанавливать, использовать и запускать Программное Обеспечение на большем количестве компьютеров и в большем количестве копий, чем указано в п.3 (а); б. Предоставлять сублицензии на Программное Обеспечение; в. Копировать Программное Обеспечение, полностью или частично, за исключением случаев, указанных в настоящем Соглашении; г. Изучать кодирование и структуру, декомпилировать или разделять Программное Обеспечение на части, за исключением случаев и исключительно в пределах, прямо разрешенных применимым законодательством. При этом Вы обязаны сначала в письменной форме запросить у Agnitum необходимую Вам информацию, которую Вы хотите получить в результате изучения кодирования и структуры, декомпиляции или разделения Программного Обеспечения на части. Agnitum вправе установить разумные условия предоставления такой информации, например, разумную плату за это. Запросы о предоставлении информации должны направляться в Agnitum по адресу, указанному в Программном Обеспечении, или по иному адресу, указываемому время от времени на официальном web-сайте Агнитума (www.agnitum.com); д. Модифицировать или создавать производные продукты, полностью или частично основанные на Программном Обеспечении; е. Удалять с Программного Обеспечения любые указания или обозначения обладателя прав на Программное Обеспечение; или ж. Перепродавать, сдавать в наем, аренду или иным образом передавать права на Программное Обеспечение, как указано в настоящем Соглашении; з. Передавать Программное Обеспечение каким-либо третьим лицам, если это запрещено законодательством или международными договорами, например, в случае, когда на страну, в которой произошла передача Программного обеспечения, налагаются соответствующие международные санкции; и. Использование Программного Обеспечения не дает Вам каких-либо прав на использование каких-либо иных продуктов Agnitum, за исключением прав, предусмотренных соответствующими лицензиями на эти продукты; к. При копировании Программного Обеспечения и передаче его третьим лицам Вы должны передать дистрибутивный пакет/установочные файлы в их оригинальном виде без каких-либо изменений. 5. УСЛУГИ ПО ПОДДЕРЖКЕ (i) Agnitum обязуется предоставлять Вам услуги по технической поддержке (“Услуги по Поддержке”), как указано ниже, в течение срока, предусмотренного в файле, содержащем ключ доступа к Программному Обеспечению (“Лицензионный Ключ”), и в окне “About Outpost Firewall Pro”. (ii) Оказание Услуг по Поддержке прекращается с истечением указанного срока, если только их оказание не будет возобновлено путем внесения очередного платежа за Услуги по Поддержке. (iii) “Услуги по Поддержке” означают: a. Обновления антивирусных баз; б. Бесплатные обновления Программного Обеспечения, в том числе обновления его версий; в. Техническую поддержку через Интернет, которую оказывает Agnitum и/или иной распространитель Программного Обеспечения. (iv) Услуги по Поддержке предоставляются Вам только в том случае, если на Вашем Компьютере установлена последняя версия Программного Обеспечения, к которой имеется доступ на официальном web-сайте Agnitum (www.agnitum.com). (v) Получение ответа от службы поддержки, а также решение проблемы, возникшей при использовании, установке или удалении Программного Обеспечения не гарантированы. 6. ИЗМЕНЕНИЕ И ПРЕКРАЩЕНИЕ СОГЛАШЕНИЯ Настоящее Соглашение действует до момента его прекращения. Agnitum вправе прекратить настоящее Соглашение в любое время в случае нарушения Вами любых условий и положений настоящего Соглашения. При любом таком прекращении Соглашения Вы обязаны немедленно полностью прекратить использование Программного Обеспечения, немедленно уничтожить или возвратить Agnitum все полные и частичные копии Программного Обеспечения, находящиеся на жестких носителях, и немедленно уничтожить все электронные копии Программного Обеспечения. Agnitum вправе в любое время изменять условия распространения Программного Обеспечения. Вы вправе прекратить настоящее Соглашение в любое время, полностью прекратив использование Программного Обеспечения, и полностью уничтожив все копии Программного обеспечения, находящиеся в вашем распоряжении. 7. ПОЛИТИКА ПРОДАЖ Agnitum придерживается политики продаж “ПЛАТЕЖИ НЕ ПОДЛЕЖАТ ВОЗВРАТУ” (“NO REFUND”). Все продажи лицензий являются ОКОНЧАТЕЛЬНЫМИ. Перед приобретением лицензии Вам предоставляется 30-дневный ознакомительный период, чтобы определить, соответствует ли Программное Обеспечение нуждам Вашего бизнеса, работам на Вашем компьютере, и обеспечивает ли полезность, ради которой Вы приобретете лицензию на Программное Обеспечение. Вы не должны предоставлять Agnitum информацию о кредитной карте либо иную информацию о приобретении, когда Вы загружаете, устанавливаете или используете Программное Обеспечение в течение 30-дневного ознакомительного периода; это требуется только тогда, когда Вы решите приобрести лицензию на Программное Обеспечение, и с этого момента покупная цена, уплаченная либо начисленная к оплате за лицензию, не подлежит возврату. 8. ОТКАЗ ОТ ГАРАНТИИ: ВЫ СОГЛАСНЫ, ЧТО AGNITUM НЕ ПРЕДОСТАВИЛ ВАМ НИКАКИХ ГАРАНТИЙ В ОТНОШЕНИИ ПРОГРАММНОГО ОБЕСПЕЧЕНИЯ, УСТНЫХ ИЛИ ПИСЬМЕННЫХ, И ЧТО ПРОГРАММНОЕ ОБЕСПЕЧЕНИЕ ПРЕДОСТАВЛЯЕТСЯ ВАМ «КАК ЕСТЬ» БЕЗ КАКИХ-ЛИБО ГАРАНТИЙ. AGNITUM ОТРИЦАЕТ ЛЮБЫЕ И ВСЕ ГАРАНТИИ, ВЫРАЖЕННЫЕ ИЛИ ПОДРАЗУМЕВАЕМЫЕ, ОСНОВАННЫЕ НА ЗАКОНЕ, ОБЩЕМ ПРАВЕ, ОБЫЧАЕ, ИСПОЛЬЗОВАНИИ ИЛИ ИНОМ, В ТОМ ЧИСЛЕ, НО БЕЗ ОГРАНИЧЕНИЙ, ГАРАНТИИ НЕНАРУШЕНИЯ ПРАВ ТРЕТЬЕГО ЛИЦА, ГОДНОСТИ ДЛЯ ПРОДАЖИ И СООТВЕТСТВИЯ КОНКРЕТНОЙ ЦЕЛИ. AGNITUM НЕ НЕСЕТ ОТВЕТСТВЕННОСТИ ЗА НЕПРЯМЫЕ, СЛУЧАЙНЫЕ, СПЕЦИАЛЬНЫЕ, СКРЫТЫЕ, ЗАВИСИМЫЕ ИЛИ КОСВЕННЫЕ УБЫТКИ (ВКЛЮЧАЯ, НО НЕ ОГРАНИЧИВАЯСЬ ЭТИМ, ПОТЕРЮ ОЖИДАЕМОЙ ПРИБЫЛИ), ВОЗНИКАЮЩИЕ ПО ЛЮБОМУ ОСНОВАНИЮ, ПРЯМО ИЛИ КОСВЕННО ВЫТЕКАЮЩЕМУ ИЗ НАСТОЯЩЕГО СОГЛАШЕНИЯ. АГНИТУМ НЕ ГАРАНТИРУЕТ, ЧТО ПРОГРАММНОЕ ОБЕСПЕЧЕНИЕ РАСПОЗНАЕТ ВСЕ ИЗВЕСТНЫЕ ВИРУСЫ, А ТАКЖЕ ЧТО ПРОГРАММНОЕ ОБЕСПЕЧЕНИЕ НЕ БУДЕТ ВРЕМЯ ОТ ВРЕМЕНИ НЕВЕРНО СООБЩАТЬ О ВИРУСЕ ПО ЗАГОЛОВКУ, ЗАРАЖЕННОМУ ДАННЫМ ВИРУСОМ. АГНИТУМ НЕ ГАРАНТИРУЕТ, ЧТО СПАМ БУДЕТ УДАЛЯТЬСЯ ИЗ ВАШЕГО ПОЧТОВОГО ЯЩИКА ПОЛНОСТЬЮ, ТАКЖЕ КАК И ТО, ЧТО ВСЕ СООБЩЕНИЯ, ПОЛУЧАЕМЫЕ ПО ЭЛЕКТРОННОЙ ПОЧТЕ, БУДУТ ПРОХОДИТЬ ЧЕРЕЗ ФИЛЬТР. 9. ЗАЩИТА ОТ ПОТЕНЦИАЛЬНО НЕЖЕЛАТЕЛЬНОГО ПРОГРАММНОГО ОБЕСПЕЧЕНИЯ: ВАШИ ПОДТВЕРЖДЕНИЯ При установке Программное Обеспечение произведет поиск на Вашем Компьютере Шпионского программного обеспечения, Рекламного программного обеспечения и иного потенциально нежелательного программного обеспечения («Потенциально Нежелательное Программное Обеспечение»). Если Программное Обеспечение обнаружит Потенциально Нежелательное Программное Обеспечение, Программное Обеспечение спросит Вас, хотите ли Вы сохранить или удалить эту(и) программу(ы). У Вас есть возможность последний раз решить, чтобы Программное Обеспечение удалило или отключило Потенциально Нежелательное Программное Обеспечение с Вашего Компьютера. Принимая условия данного Соглашения и устанавливая Программное Обеспечение, Вы подтверждаете, что Вы несете ответственность за принятие решения об удалении Потенциально Нежелательного Программного Обеспечения с Вашего Компьютера. Если Вы не желаете принимать на себя ответственность за удаление Потенциально Нежелательного Программного Обеспечения с Вашего Компьютера, не принимайте условия данного Соглашения и не устанавливайте Программное Обеспечение. Вы или иное лицо, с которым Вы пользуетесь совместно Вашим Компьютером, могли установить компьютерную программу или программное приложение, которое содержится в программном пакете совместно с программой, либо содержит в себе программу, которую Программное Обеспечение рассматривает как Потенциально Нежелательное Программное Обеспечение. Вы понимаете, что у Вас есть возможность последний раз выбрать, чтобы Программное Обеспечение удалило или отключило Потенциально Нежелательное Программное Обеспечение. Удаление или отключение Потенциально Нежелательного Программного Обеспечения может повлечь остановку работы других программ на Вашем Компьютере, и может повлечь нарушение Вами лицензий на другое программное обеспечение на Вашем компьютере, если такое другое программное обеспечение установило Потенциально Нежелательное Программное Обеспечение на Ваш компьютер как условие использования Вами такого другого программного обеспечения. Вы должны прочитать лицензионные соглашения на другое программное обеспечение перед подтверждением удаления любого Потенциально Нежелательного Программного Обеспечения. В процессе использования Программного Обеспечения возможно, что Вы также удалите или отключите программы, которые не являются Потенциально Нежелательным Программным Обеспечением. Вы подтверждаете, что использование Вами Программного Обеспечения может повлечь удаление или отключение других программ с Вашего Компьютера, включая программное обеспечение, которое может являться или не являться Шпионским программным обеспечением. Вы понимаете, что Вы можете выбрать, какие программы удалить или отключить, и Вы соглашаетесь, что Agnitum не несет ответственности за такое удаление или отключение или за результаты такого удаления или отключения. Исключительно Вы несете ответственность за выбор тех программ, которые Программное Обеспечение удаляет с Вашего Компьютера. Хотя Agnitum использует необходимые средства для надлежащего обнаружения продуктов, выявляемых Программным Обеспечением, и регулярно обновляет список таких продуктов, Agnitum не может гарантировать, что такой список является полным или наиболее точным. Поскольку новое и/или модифицированное Шпионское программное обеспечение или Потенциально Нежелательное Программное Обеспечение, которое обнаруживает Agnitum, регулярно появляется вновь, Вы должны удостовериться, что Вы получаете Обновления к Программному Обеспечению, чтобы обнаружить такие новые продукты, которые Agnitum включает в список, когда Обновления к Программному Обеспечению предоставляются. Освобождение от ответственности: независимо от того, что какие-либо меры, направленные на защиту от Потенциально Нежелательного Программного Обеспечения, указанные в настоящем Соглашении, не достигнут цели в силу каких-либо причин, ни при каких обстоятельствах Agnitum или его поставщики не будут нести ответственность перед Вами или перед иным третьим лицом за упущенную выгоду, потери данных, простои или иные специальные, непрямые, случайные или косвенные убытки любого вида, возникающие по причине или в связи с удалением или отключением любого Потенциально Нежелательного Программного Обеспечения или любых иных программ с Вашего Компьютера Программным Обеспечением, или в результате такого удаления или отключения, даже если Agnitum был извещен о возможности таких потерь или убытков и даже если такие потери или убытки являются предвидимыми. 10. СБОР И ОБРАБОТКА ДАННЫХ. Программное Обеспечение содержит технологии и функциональные возможности для сбора и передачи Агнитум a) файлов потенциально вредоносного программного обеспечения, новых или неизвестных вредоносных программ, вирусов, шпионского программного обеспечения или другого программного обеспечения, содержащего потенциально вредоносный код, инструкции или команды б) информации, которая идентифицирует Ваш компьютер, включая IP адрес, идентификаторы аппаратного обеспечения, имя компьютера, месторасположение компьютера и доменное имя в) информации об операционной системе и аппаратном обеспечении г) уникального идентификатора Программного Обеспечения, его лицензионный ключа и тип лицензии д) даты инсталляции Программного Обеспечения и продолжительности пробного периода е) информации о другом программном обеспечении, которое установлено или используется, его сетевой, локальной и других типах активности. Передаваемые данные могут содержать другую дополнительную информацию, не указанную в этом списке, и могут включать персональную информацию, которая может идентифицировать Вас, Ваш компьютер или другую персональную информацию, которая может быть важна для Вас. Агнитум прикладывает усилия ограничить сбор такой персональной информации, однако возможно, что передаваемые данные будут содержать персональную информацию и данные. Агнитум будет использовать данные и информацию, чтобы реагировать на и предотвращать заражения вредоносным программным обеспечением, вирусами или шпионским программным обеспечением, осуществлять техническую защиту от нарушения настоящего Соглашения, предоставлять обновления к Программному Обеспечению, производить поддержку пользователей Программного Обеспечения, улучшать сервисы и Программное Обеспечение. Агнитум будет использовать только обезличенную и общую информацию для публикации на своем сайта и в рекламных материалах. Агнитум будет относиться ко всем передаваемым данным конфиденциально, стирать или удалять эти данные как только в них отпадет надобность. Агнитум может делиться и пересылать передаваемые данные своим аффилиатам, бизнес партнерам и подрядным организациям. Принимая настоящее Соглашение Вы полностью понимаете и соглашаетесь с тем, что Вы разрешаете сбор и использование передаваемых данных и предоставляете разрешение Агитуму, ее аффилиатам, бизнес партнерам, подрядным организациям, в соответствии с применимым национальным законодательством и международными договорами, обрабатывать, хранить и использовать передаваемые данные и информацию как Агнитум посчитает нужным на своем сайте и в рекламных материалах. 11. ОГРАНИЧЕНИЕ ОТВЕТСТВЕННОСТИ: Вы принимаете на себя в полном объеме риск Использования Программного Обеспечения. В любом случае вся ответственность Agnitum и его поставщиков и Ваше исключительное средство защиты могут заключаться, по решению Agnitum, в (а) возвращении цены, уплаченной или начисленной к оплате, или (б) исправлении или замене дефектного Программного Обеспечения, которое возвращено Agnitum вместе с копией чека оплаты в течение 30-ти дней после даты установки. Такая гарантия может быть оспорена в случае, если неисправность программного обеспечения вызвана аварией, неправильным использованием или злоупотреблением. Любая замена программного продукта влечет за собой либо распространение на него первоначального гарантийного периода, либо гарантийный период 30 дней, в зависимости от того, какой из них длиннее. НИ ПРИ КАКИХ ОБСТОЯТЕЛЬСТВАХ AGNITUM НЕ НЕСЕТ ПЕРЕД ВАМИ ОТВЕТСТВЕННОСТИ ЗА КАКИЕ-ЛИБО УБЫТКИ, ВКЛЮЧАЯ ЛЮБУЮ УПУЩЕННУЮ ВЫГОДУ, НЕПОЛУЧЕННЫЕ СБЕРЕЖЕНИЯ, ДРУГИЕ СЛУЧАЙНЫЕ, НЕПРЯМЫЕ ИЛИ КОСВЕННЫЕ УБЫТКИ ЛЮБОГО ВИДА, ВОЗНИКАЮЩИЕ ПО ЛЮБОЙ ПРИЧИНЕ ИЗ ИЛИ В СВЯЗИ С НАСТОЯЩИМ СОГЛАШЕНИЕМ, ДАЖЕ ЕСЛИ AGNITUM БЫЛ ПРОИНФОРМИРОВАН О ВОЗМОЖНОСТИ ТАКИХ УБЫТКОВ, УЩЕРБА, ТРЕБОВАНИЙ ИЛИ ИЗДЕРЖЕК. ВЫ СОГЛАШАЕТЕСЬ С ТЕМ, ЧТО AGITUM НЕ НЕСЕТ ПЕРЕД ВАМИ ОТВЕТСТВЕННОСТИ ЗА КАКИЕ-ЛИБО УБЫТКИ, УЩЕРБ, ТРЕБОВАНИЯ ИЛИ ИЗДЕРЖКИ. ЭТО ОГРАНИЧЕНИЕ ТАКЖЕ ПРИМЕНИМО К ТРЕБОВАНИЯМ О ВОЗМЕЩЕНИИ ВРЕДА ЗДОРОВЬЮ В ТОЙ СТЕПЕНИ, В КАКОЙ ЭТО РАЗРЕШЕНО ЗАКОНОМ. 12. ПРИМЕНИМОЕ ПРАВО. Настоящее Соглашение регулируется действующим законодательством Кипра, за исключением применения его коллизионных норм. Настоящее Соглашение не регулируется Конвенцией ООН о договорах международной купли-продажи товаров, применение которой прямо исключено. Все споры, возникающие из настоящего Соглашения или в связи с ним, рассматриваются компетентным судом Кипра, при условии, что Agnitum также вправе подавать иски в суды страны Вашего постоянного проживания и/или нахождения. 13. РАЗНОЕ: Недействительность части Соглашения. Стороны договорились, что недействительность какого-либо положения настоящего Соглашения не влечет недействительности остальных его положений. Экспорт. Вы согласны не экспортировать/реэкспортировать Программное Обеспечение за пределы юрисдикции, в которой Вы его приобрели, без получения соответствующих государственных разрешений. Полнота Соглашения. Настоящее Соглашение представляет собой полную договоренность между Вами и Agnitum по предмету настоящего Соглашения и заменяет все предыдущие договоренности, соглашения, заявления и иной обмен информацией между Agnitum и Вами в отношении предмета настоящего Соглашения, как устные, так и письменные. Сохранение Прав. Agnitum сохраняет за собой все права, которые прямо не предоставлены по настоящему Соглашению. Язык Соглашения. Настоящее Соглашение составлено на английском языке и может быть переведено на любой другой язык. В случае противоречия, расхождения или несоответствия между английской версией и переводом, версия Соглашения на английском языке будет действовать для целей его исполнения, толкования и урегулирования разногласий.
